Please read the following agreements carefully and purchase traffic services
1.1 The Agreement is made and concluded by and between Arogal members (hereinafter referred to as "members") and CONICO (HK) TECHNOLOGY CO., LIMITED (hereinafter referred to as "Arogal") concerning members' application of entrusted deduction service for automatic fee renewal furnished by Arogal (hereinafter referred to as "the service"). The Agreement clearly clarifies the rights and obligations between Arogal and its members with respect to the use of the service as well as related aspects. "Members" refer to natural persons who have gone through all the procedures for becoming members of Arogal's traffic services and enjoyed the membership services furnished by Arogal in accordance with the relevant usage rules of Arogal. The Agreement constitutes a prerequisite for members to enjoy the service furnished by Arogal. Arogal has prompted members to read the relevant exemption or limitation clauses in the Agreement in bold font or other reasonable ways. The Parties acknowledge that these clauses are legal and valid. Except that members accept the clauses of the Agreement, members shall have no right to enjoy the service, and members' choice to enjoy the service will be deemed as agreeing to be bound by the terms hereof.
1.2 Arogal shall be entitled to revise the service terms at any time. Once the service terms are changed and revised, Arogal will make an announcement on the page concerned. In the event that members disagree with any revision of the Agreement, they can cancel the function of automatic fee renewal; if the members continue to use it, it shall be deemed that the members have accepted all revisions to the Agreement.
1.3 Members must have corresponding legal capacity and the capacity to act when enjoying the service, and be able to assume legal liabilities independently. If members are under the age of 18, they can only enjoy the service under the guardianship of their parents or other guardians, and their use of the service will be regarded to have been approved by their parents or other guardians.
2.1 The service is launched out of members' demand for automatic fee renewal, and on the premise that members have opened the service, to avoid losses arising from members' failure to renew their fees in a prompt manner due to negligence or other reasons. Members authorize Arogal to entrust payment channels to withhold the fees of the next billing cycle from the balances of members' own top-up accounts, third-party payment accounts bound to members' accounts, bank cards, and communication accounts (hereinafter collectively referred to as "accounts") when the validity period of members is about to expire. The billing cycle includes, without limitation, monthly, quarterly, yearly, etc. (the same as below), and members can choose based on the billing cycle displayed on the Arogal platform. The premise for realizing the service is that members have bound their Arogal member accounts to the above accounts and fees can be successfully deducted from the above-mentioned accounts.
2.2 Automatic fee renewal specifically refers to the deduction method for Arogal to charge members' fees for the next billing cycle through the above-said account on the premise of 2.1. Members shall guarantee that Arogal can successfully deduct fees from the above account; if the fee renewal fails owing to insufficient deductible balance in the above account, members shall assume liabilities on their own, and Arogal shall be entitled to interrupt/terminate the corresponding services of members.
2.3 If members choose to enable automatic fee renewal, they will be regarded as agreeing to authorize Arogal to issue a deduction instruction to the account, and agree that the account can deduct the fees of the next billing cycle from the account without verifying the account password, payment password, SMS check code and other information of members based on the deduction instruction issued by Arogal. Unless members voluntarily and explicitly cancel the automatic fee renewal, members' entrustment to Arogal for automatic deduction shall be irrevocable. Unless otherwise specified by laws and regulations, Arogal will not refund the fees paid by its members in any way.
2.4 When enjoying the service, members shall be bound by all contents such as the clauses of the Agreement for Purchase of Traffic, Privacy Policy, User Agreement as well as other related sub-agreements, page descriptions, standardized procedures, etc. When members enjoy the service, their use behavior will be considered as their consent to the service terms and all types of publicity issued by Arogal for the service. Where there arises any conflict between the Agreement and User Agreement and Agreement for Purchase of Traffic, the Agreement shall prevail.
2.5 The services furnished by Arogal to members are limited to members' use on the Arogal platform. Any act of separating the service furnished by Arogal from the Arogal platform by malicious cracking and other illegal means is not the service specified herein. All legal consequences arising therefrom shall be borne by the actor, and Arogal will hold the actor legally accountable according to law.
3.1 The Arogal is responsible for providing members with inquiry methods about the details of the charge for automatic renewal, but it is not responsible for printing and/or forwarding the relevant invoices to members.
3.2 Arogal will send a reminder of automatic fee renewal to its members by sending SMS or other means prior to the expiration of their validity period. If the fees of the next billing cycle are deducted from the above-mentioned accounts of members, the deducted amount will be kept in the payment records of members on the day of deduction, and the validity period of members will be extended accordingly. Once the deduction is successful, Arogal shall be entitled to charge the fees forthwith and does not render refund services.
3.3 In the case of any error in the fee deduction, Arogal and members shall cooperate closely to find out the causes and bear the losses caused by their own faults; if the losses are caused by the unequal faults of both Parties, the Parties shall bear corresponding responsibilities by the degree of fault; if the losses are caused by the joint faults of both Parties but it is impossible to define their respective faults, the responsibilities shall be shared equally by the Parties.
3.4 Arogal may change or modify the relevant service contents, rules, and terms of the Agreement according to its business operations or technical upgrading. Arogal will notify users of the relevant changes or modifications by means of publicity on the relevant pages or other places, as appropriate, according to the situation, with no obligation of further notice. The above-mentioned publicity shall be regarded to have been delivered to members from the sending date of Arogal. If multiple methods of notification coexist, the delivery time shall be subject to the earliest one of the above methods. In the case that the members do not agree to the modification of the Agreement, they may cancel the service already obtained and stop using it; in the event that the members continue to use the service provided by Arogal, it shall be deemed that the members have accepted all the modifications of the Agreement.
3.5 The members can choose whether to cancel the service independently. If members choose not to cancel it, it will be regarded that the members agree that Arogal is entitled to continuously make deductions from time to time in accordance with certain rules. Once the deductions are successful, Arogal will render services for the members in the next billing cycle.
3.6 In the case that the service price of Arogal is adjusted before/during the automatic fee renewal, the current effective price announced on the Arogal platform at the time of deduction shall prevail.
3.7 Arogal does not collect any additional service charge for members to subscribe to the service, but shall have the right to decide whether to charge the service or adjust the automatic payment cycle and fee according to its business needs or market changes and may publicize it to members on the relevant pages.
3.8 If members renew their fees within the validity period of membership, the validity period will be extended on the basis of the validity period of the original service.
3.9 The members understand and consent that the withholding authority granted by the members to Arogal will be considered as the recharge behavior of the members themselves. In the event that members themselves suffer any loss as a result, the members will not claim any rights or pursue any liabilities from Arogal or its affiliated companies.
4.1 The Agreement shall take effect as of the date members choose to accept or use the service and shall not be invalidated until members terminate the service/cancel their membership, except as otherwise announced by Arogal.
4.2 Members shall have the right to terminate the service via the account setting of the members at any time. After the service is terminated, Arogal will stop providing the service to members.
4.3 Before members choose to terminate the service, the instruction to Arogal for authorized automatic payment shall remain valid, and Arogal will not refund the fees that have been deducted already based on the instruction. Members shall bear the relevant responsibilities and losses.
4.4 Arogal has the right to suspend or terminate the service based on its business adjustment, price change, and other reasons. In the event of any of the aforesaid circumstances, Arogal will notify members by means of announcement.
In case of any breach by either Party, the non-breaching Party shall be entitled to compensation or indemnification through the breach settlement method agreed upon by the Parties.
In the case of any dispute arising out of or in connection with the performance of the Agreement, it shall be settled by Arogal and members through friendly consultation. If no agreement can be reached, either Party shall have the right to submit the dispute to the Hong Kong High Court for resolution through litigation. The interpretation, effectiveness, and execution of the Agreement shall be subject to the laws of Hong Kong.
7.1 If members raise any questions (including questions, complaints, etc.) about the Agreement or the use of Arogal's service of automatic fee renewal, please contact Arogal through the user feedback portal on the function page or online customer service or support@arogal.ai. Arogal will reply to the members with the least delay possible upon receipt of their comments and suggestions. Please contact us at support@arogal.ai with your comments and suggestions. We will respond as soon as possible.
7.2 The titles of the Agreement are set for convenience and reading only, and will not affect the meaning or interpretation of any provisions in the main text.
7.3 The Agreement shall become effective as of the date members accept or use the service.
